9 <P><FONT size=3></FONT><FONT size=2>THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
|
|
10 THE TERMS OF THIS COMMON PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR
|
|
11 DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS
|
|
12 AGREEMENT.</FONT>
|
|
13 <P><FONT size=2></FONT>
|
|
14 <P><FONT size=2><B>1. DEFINITIONS</B></FONT>
|
|
15 <P><FONT size=2>"Contribution" means:</FONT>
|
|
16 <UL><FONT size=2>a) in the case of the initial Contributor, the initial code
|
|
17 and documentation distributed under this Agreement, and<BR clear=left>b) in
|
|
18 the case of each subsequent Contributor:</FONT></UL>
|
|
19 <UL><FONT size=2>i) changes to the Program, and</FONT></UL>
|
|
20 <UL><FONT size=2>ii) additions to the Program;</FONT></UL>
|
|
21 <UL><FONT size=2>where such changes and/or additions to the Program originate
|
|
22 from and are distributed by that particular Contributor. </FONT><FONT size=2>A
|
|
23 Contribution 'originates' from a Contributor if it was added to the Program by
|
|
24 such Contributor itself or anyone acting on such Contributor's behalf.
|
|
25 </FONT><FONT size=2>Contributions do not include additions to the Program
|
|
26 which: (i) are separate modules of software distributed in conjunction with
|
|
27 the Program under their own license agreement, and (ii) are not derivative
|
|
28 works of the Program. </FONT></UL>
|
|
29 <P><FONT size=2></FONT>
|
|
30 <P><FONT size=2>"Contributor" means any person or entity that distributes the
|
|
31 Program.</FONT>
|
|
32 <P><FONT size=2></FONT><FONT size=2></FONT>
|
|
33 <P><FONT size=2>"Licensed Patents " mean patent claims licensable by a
|
|
34 Contributor which are necessarily infringed by the use or sale of its
|
|
35 Contribution alone or when combined with the Program. </FONT>
|
|
36 <P><FONT size=2></FONT><FONT size=2></FONT>
|
|
37 <P><FONT size=2></FONT><FONT size=2>"Program" means the Contributions
|
|
38 distributed in accordance with this Agreement.</FONT>
|
|
39 <P><FONT size=2></FONT>
|
|
40 <P><FONT size=2>"Recipient" means anyone who receives the Program under this
|
|
41 Agreement, including all Contributors.</FONT>
|
|
42 <P><FONT size=2><B></B></FONT>
|
|
43 <P><FONT size=2><B>2. GRANT OF RIGHTS</B></FONT>
|
|
44 <UL><FONT size=2></FONT><FONT size=2>a) </FONT><FONT size=2>Subject to the
|
|
45 terms of this Agreement, each Contributor hereby grants</FONT><FONT size=2>
|
|
46 Recipient a non-exclusive, worldwide, royalty-free copyright license
|
|
47 to</FONT><FONT color=#ff0000 size=2> </FONT><FONT size=2>reproduce, prepare
|
|
48 derivative works of, publicly display, publicly perform, distribute and
|
|
49 sublicense the Contribution of such Contributor, if any, and such derivative
|
|
50 works, in source code and object code form.</FONT></UL>
|
|
51 <UL><FONT size=2></FONT></UL>
|
|
52 <UL><FONT size=2></FONT><FONT size=2>b) Subject to the terms of this
|
|
53 Agreement, each Contributor hereby grants </FONT><FONT size=2>Recipient a
|
|
54 non-exclusive, worldwide,</FONT><FONT color=#008000 size=2> </FONT><FONT
|
|
55 size=2>royalty-free patent license under Licensed Patents to make, use, sell,
|
|
56 offer to sell, import and otherwise transfer the Contribution of such
|
|
57 Contributor, if any, in source code and object code form. This patent license
|
|
58 shall apply to the combination of the Contribution and the Program if, at the
|
|
59 time the Contribution is added by the Contributor, such addition of the
|
|
60 Contribution causes such combination to be covered by the Licensed Patents.
|
|
61 The patent license shall not apply to any other combinations which include the
|
|
62 Contribution. No hardware per se is licensed hereunder. </FONT></UL>
|
|
63 <UL><FONT size=2></FONT></UL>
|
|
64 <UL><FONT size=2>c) Recipient understands that although each Contributor
|
|
65 grants the licenses to its Contributions set forth herein, no assurances are
|
|
66 provided by any Contributor that the Program does not infringe the patent or
|
|
67 other intellectual property rights of any other entity. Each Contributor
|
|
68 disclaims any liability to Recipient for claims brought by any other entity
|
|
69 based on infringement of intellectual property rights or otherwise. As a
|
|
70 condition to exercising the rights and licenses granted hereunder, each
|
|
71 Recipient hereby assumes sole responsibility to secure any other intellectual
|
|
72 property rights needed, if any. For example, if a third party patent license
|
|
73 is required to allow Recipient to distribute the Program, it is Recipient's
|
|
74 responsibility to acquire that license before distributing the
|
|
75 Program.</FONT></UL>
|
|
76 <UL><FONT size=2></FONT></UL>
|
|
77 <UL><FONT size=2>d) Each Contributor represents that to its knowledge it has
|
|
78 sufficient copyright rights in its Contribution, if any, to grant the
|
|
79 copyright license set forth in this Agreement. </FONT></UL>
|
|
80 <UL><FONT size=2></FONT></UL>
|
|
81 <P><FONT size=2><B>3. REQUIREMENTS</B></FONT>
|
|
82 <P><FONT size=2><B></B>A Contributor may choose to distribute the Program in
|
|
83 object code form under its own license agreement, provided that:</FONT>
|
|
84 <UL><FONT size=2>a) it complies with the terms and conditions of this
|
|
85 Agreement; and</FONT></UL>
|
|
86 <UL><FONT size=2>b) its license agreement:</FONT></UL>
|
|
87 <UL><FONT size=2>i) effectively disclaims</FONT><FONT face="Times New Roman"
|
|
88 size=2> on behalf of all Contributors all warranties and conditions, express
|
|
89 and implied, including warranties or conditions of title and non-infringement,
|
|
90 and implied warranties or conditions of merchantability and fitness for a
|
|
91 particular purpose; </FONT></UL>
|
|
92 <UL><FONT face="Times New Roman" size=2>ii) effectively excludes on behalf of
|
|
93 all Contributors all liability for damages, including direct, indirect,
|
|
94 special, incidental and consequential damages, such as lost profits;
|
|
95 </FONT></UL>
|
|
96 <UL><FONT face="Times New Roman" size=2>iii)</FONT><FONT size=2> states that
|
|
97 any provisions which differ from this Agreement are offered by that
|
|
98 Contributor alone and not by any other party; and</FONT></UL>
|
|
99 <UL><FONT size=2>iv) states that source code for the Program is available from
|
|
100 such Contributor, and informs licensees how to obtain it in a reasonable
|
|
101 manner on or through a medium customarily used for software
|
|
102 exchange.</FONT><FONT color=#0000ff size=2> </FONT><FONT color=#ff0000
|
|
103 size=2></FONT></UL>
|
|
104 <UL><FONT color=#ff0000 size=2></FONT><FONT size=2></FONT></UL>
|
|
105 <P><FONT size=2>When the Program is made available in source code form:</FONT>
|
|
106 <UL><FONT size=2>a) it must be made available under this Agreement; and
|
|
107 </FONT></UL>
|
|
108 <UL><FONT size=2>b) a copy of this Agreement must be included with each copy
|
|
109 of the Program. </FONT></UL>
|
|
110 <P><FONT size=2></FONT><FONT color=#0000ff size=2><STRIKE></STRIKE></FONT>
|
|
111 <P><FONT color=#0000ff size=2><STRIKE></STRIKE></FONT><FONT size=2>Contributors
|
|
112 may not remove or alter any copyright notices contained within the Program.
|
|
113 </FONT>
|
|
114 <P><FONT size=2></FONT>
|
|
115 <P><FONT size=2>Each Contributor must identify itself as the originator of its
|
|
116 Contribution, if any, in a manner that reasonably allows subsequent Recipients
|
|
117 to identify the originator of the Contribution. </FONT>
|
|
118 <P><FONT size=2></FONT>
|
|
119 <P><FONT size=2><B>4. COMMERCIAL DISTRIBUTION</B></FONT>
|
|
120 <P><FONT size=2>Commercial distributors of software may accept certain
|
|
121 responsibilities with respect to end users, business partners and the like.
|
|
122 While this license is intended to facilitate the commercial use of the Program,
|
|
123 the Contributor who includes the Program in a commercial product offering should
|
|
124 do so in a manner which does not create potential liability for other
|
|
125 Contributors. Therefore, if a Contributor includes the Program in a commercial
|
|
126 product offering, such Contributor ("Commercial Contributor") hereby agrees to
|
|
127 defend and indemnify every other Contributor ("Indemnified Contributor") against
|
|
128 any losses, damages and costs (collectively "Losses") arising from claims,
|
|
129 lawsuits and other legal actions brought by a third party against the
|
|
130 Indemnified Contributor to the extent caused by the acts or omissions of such
|
|
131 Commercial Contributor in connection with its distribution of the Program in a
|
|
132 commercial product offering. The obligations in this section do not apply to any
|
|
133 claims or Losses relating to any actual or alleged intellectual property
|
|
134 infringement. In order to qualify, an Indemnified Contributor must: a) promptly
|
|
135 notify the Commercial Contributor in writing of such claim, and b) allow the
|
|
136 Commercial Contributor to control, and cooperate with the Commercial Contributor
|
|
137 in, the defense and any related settlement negotiations. The Indemnified
|
|
138 Contributor may participate in any such claim at its own expense.</FONT>
|
|
139 <P><FONT size=2></FONT>
|
|
140 <P><FONT size=2>For example, a Contributor might include the Program in a
|
|
141 commercial product offering, Product X. That Contributor is then a Commercial
|
|
142 Contributor. If that Commercial Contributor then makes performance claims, or
|
|
143 offers warranties related to Product X, those performance claims and warranties
|
|
144 are such Commercial Contributor's responsibility alone. Under this section, the
|
|
145 Commercial Contributor would have to defend claims against the other
|
|
146 Contributors related to those performance claims and warranties, and if a court
|
|
147 requires any other Contributor to pay any damages as a result, the Commercial
|
|
148 Contributor must pay those damages.</FONT>
|
|
149 <P><FONT size=2></FONT><FONT color=#0000ff size=2></FONT>
|
|
150 <P><FONT color=#0000ff size=2></FONT><FONT size=2><B>5. NO WARRANTY</B></FONT>
|
|
151 <P><FONT size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
|
|
152 PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND,
|
|
153 EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR
|
|
154 CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A
|
|
155 PARTICULAR PURPOSE. Each Recipient is</FONT><FONT size=2> solely responsible for
|
|
156 determining the appropriateness of using and distributing </FONT><FONT
|
|
157 size=2>the Program</FONT><FONT size=2> and assumes all risks associated with its
|
|
158 exercise of rights under this Agreement</FONT><FONT size=2>, including but not
|
|
159 limited to the risks and costs of program errors, compliance with applicable
|
|
160 laws, damage to or loss of data, </FONT><FONT size=2>programs or equipment, and
|
|
161 unavailability or interruption of operations</FONT><FONT size=2>. </FONT><FONT
|
|
162 size=2></FONT>
|
|
163 <P><FONT size=2></FONT>
|
|
164 <P><FONT size=2></FONT><FONT size=2><B>6. DISCLAIMER OF LIABILITY</B></FONT>
|
|
165 <P><FONT size=2></FONT><FONT size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS
|
|
166 AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
|
|
167 ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
|
|
168 </FONT><FONT face="Times New Roman" size=2>(INCLUDING WITHOUT LIMITATION LOST
|
|
169 PROFITS),</FONT><FONT size=2> HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY,
|
|
170 WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
|
|
171 OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR
|
|
172 THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY
|
|
173 OF SUCH DAMAGES.</FONT>
|
|
174 <P><FONT size=2></FONT><FONT size=2></FONT>
|
|
175 <P><FONT size=2><B>7. GENERAL</B></FONT>
|
|
176 <P><FONT size=2></FONT><FONT size=2>If any provision of this Agreement is
|
|
177 invalid or unenforceable under applicable law, it shall not affect the validity
|
|
178 or enforceability of the remainder of the terms of this Agreement, and without
|
|
179 further action by the parties hereto, such provision shall be reformed to the
|
|
180 minimum extent necessary to make such provision valid and enforceable.</FONT>
|
|
181 <P><FONT size=2></FONT>
|
|
182 <P><FONT size=2>If Recipient institutes patent litigation against a Contributor
|
|
183 with respect to a patent applicable to software (including a cross-claim or
|
|
184 counterclaim in a lawsuit), then any patent licenses granted by that Contributor
|
|
185 to such Recipient under this Agreement shall terminate as of the date such
|
|
186 litigation is filed. In addition, if Recipient institutes patent litigation
|
|
187 against any entity (including a cross-claim or counterclaim in a lawsuit)
|
|
188 alleging that the Program itself (excluding combinations of the Program with
|
|
189 other software or hardware) infringes such Recipient's patent(s), then such
|
|
190 Recipient's rights granted under Section 2(b) shall terminate as of the date
|
|
191 such litigation is filed. </FONT><FONT size=2></FONT>
|
|
192 <P><FONT size=2></FONT>
|
|
193 <P><FONT size=2>All Recipient's rights under this Agreement shall terminate if
|
|
194 it fails to comply with any of the material terms or conditions of this
|
|
195 Agreement and does not cure such failure in a reasonable period of time after
|
|
196 becoming aware of such noncompliance. If all Recipient's rights under this
|
|
197 Agreement terminate, Recipient agrees to cease use and distribution of the
|
|
198 Program as soon as reasonably practicable. However, Recipient's obligations
|
|
199 under this Agreement and any licenses granted by Recipient relating to the
|
|
200 Program shall continue and survive. </FONT><FONT size=2></FONT>
|
|
201 <P><FONT size=2></FONT>
|
|
202 <P><FONT size=2></FONT><FONT face="Times New Roman" size=2>Everyone is permitted
|
|
203 to copy and distribute copies of this Agreement, but in order to avoid
|
|
204 inconsistency the Agreement is copyrighted and may only be modified in the
|
|
205 following manner. The Agreement Steward reserves the right to </FONT><FONT
|
|
206 size=2>publish new versions (including revisions) of this Agreement from time to
|
|
207 </FONT><FONT face="Times New Roman" size=2>time. No one other than the Agreement
|
|
208 Steward has the right to modify this Agreement. IBM is the initial Agreement
|
|
209 Steward. IBM may assign the responsibility to serve as the Agreement Steward to
|
|
210 a suitable separate entity. </FONT><FONT size=2>Each new version of the
|
|
211 Agreement will be given a distinguishing version number. The Program (including
|
|
212 Contributions) may always be distributed subject to the version of the Agreement
|
|
213 under which it was received. In addition, after a new version of the Agreement
|
|
214 is published, Contributor may elect to distribute the Program (including its
|
|
215 Contributions) under the new </FONT><FONT face="Times New Roman" size=2>version.
|
|
216 </FONT><FONT size=2>Except as expressly stated in Sections 2(a) and 2(b) above,
|
|
217 Recipient receives no rights or licenses to the intellectual property of any
|
|
218 Contributor under this Agreement, whether expressly, </FONT><FONT size=2>by
|
|
219 implication, estoppel or otherwise</FONT><FONT size=2>.</FONT><FONT size=2> All
|
|
220 rights in the Program not expressly granted under this Agreement are
|
|
221 reserved.</FONT>
|
|
222 <P><FONT size=2></FONT>
|
|
223 <P><FONT size=2>This Agreement is governed by the laws of the State of New York
|
|
224 and the intellectual property laws of the United States of America. No party to
|
|
225 this Agreement will bring a legal action under this Agreement more than one year
|
|
226 after the cause of action arose. Each party waives its rights to a jury trial in
|
|
227 any resulting litigation.</FONT>

228 <P><FONT size=2></FONT><FONT size=2></FONT>
